Terms of Service
Version 1.0 · Last revised: August 13, 2026
1. Acceptance of Terms
These Terms of Service govern access to and use of the VyNext platform, websites, applications, services, and related features (the “Platform”). By accessing or using VyNext, creating an account, purchasing through VyNext, or otherwise using the Platform, you agree to these Terms.
If you use VyNext on behalf of a school, district, organization, or other entity, additional terms may apply, including the VyNext School Customer Agreement and applicable data-protection terms.
2. VyNext Is a Technology Platform
VyNext provides technology that schools and educational organizations may use for events, ticket sales, admissions, QR ticket validation, season passes, box-office transactions, concessions, merchandise, payments, communications, reporting, and related school operations.
Unless expressly stated otherwise, the school or organization offering an event, ticket, product, concession item, merchandise item, or other school offering is the organizer and seller. VyNext provides the technology and does not become the event organizer merely because the Platform is used.
The applicable school controls its events, schedules, venues, ticket availability, prices, admission requirements, capacity, cancellations, postponements, refund policies, products, and other school-controlled matters.
3. Accounts and Eligibility
Some VyNext features may be used without creating an account, including certain guest ticket purchases. Other features require an account.
When creating an account, you agree to provide accurate information and maintain the security of your credentials. You may not impersonate another person, use another person’s credentials without authorization, bypass access restrictions, or use an account for fraudulent or unlawful purposes.
VyNext does not intend to require children under 13 to independently establish general consumer accounts or provide personal information without an appropriate authorization or consent process where required by law.
4. School Staff Access
School staff access is provided according to permissions established by the applicable school and VyNext. Staff users may access only information and functions they are authorized to access.
School personnel may not improperly access another school’s information, misuse purchaser or student information, manipulate transactions, circumvent Platform permissions, or disclose protected information without authorization. School-user activity may be logged for security, support, audit, and accountability purposes.
5. Tickets, Admissions, and Season Passes
Digital tickets may include unique identifiers, QR codes, or other validation credentials. A ticket may be rejected if it has been voided, refunded, duplicated, altered, fraudulently created, or already used.
Purchasers are responsible for protecting ticket credentials from unauthorized sharing or duplication. A valid ticket remains subject to lawful venue rules, safety requirements, eligibility requirements, and other admission rules established by the event organizer.
Season passes may be subject to participating-event rules, redemption limits, transfer restrictions, eligibility requirements, suspension, revocation, and other terms established by the school offering the pass.
6. Ticket Purchases and Refund Policies
Ticket purchases are also subject to the VyNext Ticket Purchase Terms and the refund policy presented for the applicable event at the time of purchase.
The school may use a school-wide default refund policy or an event-specific policy. The policy applicable when the transaction is completed ordinarily continues to govern that completed purchase, subject to applicable law.
The school, not VyNext, determines whether its event is canceled, postponed, rescheduled, relocated, delayed, or otherwise changed. VyNext may provide technology to communicate changes and administer refunds but does not independently make the school’s event-management decisions.
7. Payments and Fees
Electronic payment services used through VyNext may be provided by Stripe or another disclosed payment processor. Where a school uses its connected Stripe account, the school remains the seller or merchant for its school transactions unless expressly stated otherwise.
Purchases may include ticket or product prices, school-imposed amounts, applicable taxes, payment-processing amounts, VyNext platform or transaction fees, and other amounts disclosed before purchase. VyNext may receive a platform fee from transactions processed through the Platform.
VyNext does not take ownership of school ticket, concession, merchandise, or other school sales proceeds merely because a transaction occurs through the Platform.
8. Chargebacks and Payment Disputes
Purchasers retain legitimate rights to dispute transactions through their payment provider. Submitting a false or fraudulent dispute is prohibited.
VyNext and the applicable school may provide relevant transaction, ticket, admission, refund-policy, delivery, and redemption information to payment processors, financial institutions, card networks, or other parties involved in resolving a dispute.
9. Box Office, Cash, Concessions, and Merchandise
Schools may use VyNext to record or process walk-up admissions and other in-person sales. Card-present transactions may use supported payment technology. The school remains the seller and controls admission, pricing, staff access, and its on-site operations.
Cash collected at a school location is physically controlled by the school. VyNext may record the transaction but does not receive, possess, deposit, safeguard, count, or reconcile the physical cash. The school is responsible for cash drawers, change, shortages, overages, theft, employee handling, deposits, and its internal cash-control procedures.
Products sold through a school’s concession stand or merchandise store are offered by the school. The school is responsible for product descriptions, pricing, availability, inventory, discounts, taxes, fulfillment, returns, customer service, food preparation and handling, allergen information, permits, product safety, and other requirements applicable to those sales.
VyNext inventory and sales records are operational tools and do not replace the school’s responsibility to verify physical inventory, fulfillment, cash, and accounting records. Questions or claims about a school product, food item, fulfillment decision, or return should generally be directed to the school that made the sale.
10. VyNext Pay and Student Information
If VyNext Pay or another school spending feature is made available, additional terms may apply concerning funding, balances, spending authorization, credentials, limits, refunds, account closure, unused funds, and school participation.
VyNext intends to minimize the student information required for school spending functionality and to support parent- or guardian-controlled access where appropriate. VyNext does not intend to require a student to maintain a full independent consumer account merely to use an authorized spending credential.
11. Communications
By providing contact information in connection with a transaction or account, you agree that VyNext and the applicable school may send necessary service-related communications such as purchase confirmations, ticket delivery, receipts, refunds, event changes, account notices, security alerts, and customer-support communications.
Where marketing communications are offered, legally required unsubscribe options will be provided. Transactional and security communications may still be sent where permitted by law.
12. Accessibility
VyNext aims to make its public and authenticated digital experiences usable by people with disabilities and will continue improving accessibility as the Platform develops. Schools are responsible for the accessibility of school-controlled content they upload or publish, including event descriptions, images, documents, venue information, and other School-provided materials.
If you experience difficulty accessing or using VyNext, you may request accessibility assistance through the VyNext Contact Us page or support channel. VyNext will review accessibility issues and make reasonable efforts to provide assistance or address barriers within the Platform that VyNext controls.
13. Electronic Communications
By creating an account, providing an email address or other contact information, making a purchase, or otherwise using a feature that requires communications, you consent to receive electronic records and service-related communications reasonably necessary for that relationship. These may include tickets, receipts, refund notices, event changes, account and security notices, school-administration messages, support responses, and legally required notices.
You are responsible for providing accurate contact information and maintaining access to the email address or other contact method you provide. Where law requires a separate consent for a particular type of communication, VyNext or the applicable School will obtain that consent before using that channel for that purpose.
Marketing communications, when offered, are separate from necessary transactional and service communications. Recipients may use legally required unsubscribe or opt-out mechanisms for marketing messages without preventing communications that remain necessary to provide purchases, accounts, security, or requested services.
14. Acceptable Use
You may not use VyNext to violate law, commit fraud, misuse payments or refunds, create or use fraudulent tickets, defeat admission validation, access data without authorization, introduce malware, interfere with Platform operation, scrape protected information without authorization, infringe intellectual-property rights, or create unreasonable security or operational risk.
Users with access to student, purchaser, parent, staff, or other personal information may use that information only for authorized purposes and may not browse, disclose, download, sell, or repurpose protected information without authorization.
Users may not attempt to access another school’s private records, administrative environment, purchaser information, payment account, events, or transactions. Suspected fraud, cross-school access, payment abuse, or serious security threats may result in immediate restriction or suspension while investigated.
Schools are not prohibited from using other ticketing, payment, concession, or software systems unless a separate written agreement expressly establishes exclusivity.
13. User and School Content
Users and schools retain ownership of content they own. By providing content through VyNext, you grant VyNext a limited right to host, process, display, transmit, format, and otherwise use that content as reasonably necessary to provide, operate, secure, and support the Platform.
You must have the legal right to provide content submitted through VyNext. Content that infringes intellectual-property rights, contains malicious code, unlawfully discloses private information, or otherwise violates law may be removed or restricted.
14. VyNext Intellectual Property
VyNext retains all rights in its software, source code, designs, interfaces, workflows, trademarks, branding, documentation, proprietary technology, and other intellectual property. These Terms do not transfer ownership of VyNext intellectual property to users or schools.
15. Privacy
VyNext’s collection and use of personal information is described in the VyNext Privacy Policy. Certain school-controlled information may also be governed by a School Customer Agreement, School Data Protection Addendum, or other applicable school data terms.
16. Third-Party Services
VyNext relies on third-party services that may include payment processors, application infrastructure, authentication, email delivery, security, analytics, and other technology providers. Third-party products may be governed by their own terms and privacy practices.
VyNext is not responsible for the independent acts or failures of third-party services outside VyNext’s reasonable control.
17. Availability
VyNext works to maintain reliable service but cannot guarantee uninterrupted or error-free operation. Service may be affected by maintenance, updates, internet outages, payment-processor outages, third-party failures, device failures, security incidents, or circumstances outside VyNext’s reasonable control.
18. Suspension and Termination
VyNext may suspend or terminate access when reasonably necessary because of violation of these Terms, fraud, security threats, abusive conduct, payment misuse, unauthorized access, legal requirements, or material risk to another user, school, VyNext, or a third-party provider.
Where reasonable, VyNext may provide notice or an opportunity to correct the issue. Account closure does not automatically erase records that must reasonably be retained for transactions, refunds, chargebacks, accounting, fraud prevention, security, school records, legal obligations, or dispute resolution.
19. Disclaimers
To the maximum extent permitted by law, the Platform is provided “as is” and “as available.” VyNext does not guarantee that every school event will occur as advertised, that every school-provided description will be error-free, that third-party services will always be available, or that the Platform will never experience an interruption.
Nothing in these Terms excludes rights that cannot lawfully be excluded.
20. Limitation of Liability
To the maximum extent permitted by applicable law, VyNext will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from use of the Platform.
For consumer or end-user claims that can legally be limited, VyNext’s aggregate liability will not exceed the greater of the amount the claimant paid directly to VyNext in connection with the transaction giving rise to the claim or $100. This limitation does not apply where applicable law prohibits limitation.
21. School Responsibility
Claims concerning a school’s event operations, event cancellation, admission decision, refund decision, merchandise, food or concessions, venue, safety practices, or school policies should generally be addressed to the school responsible for that activity. This does not limit responsibility VyNext may independently have for its own conduct.
22. Governing Law
These Terms are governed by the laws of the State of South Carolina, except where applicable consumer law requires otherwise. Any final dispute-resolution or forum provisions adopted by VyNext will be applied subject to applicable law.
23. Changes and Electronic Acceptance
VyNext may update these Terms prospectively. For material changes, VyNext will provide reasonable notice where appropriate and may require renewed acceptance where legally or contractually necessary.
Acceptance may occur through account registration, a checkbox, an “I Agree” button, completing a purchase after being shown applicable terms, or another clear electronic acceptance mechanism. VyNext may maintain reasonable records of acceptance, including the user, date and time, applicable version, transaction or account, and related audit information.
24. Contact
Questions concerning these Terms may be submitted through the VyNext Contact Us page. VyNext will publish dedicated legal, privacy, security, and business mailing contact information as those channels are established.
